Our recommendations are based on agricultural data (soil reports, climate conditions, crop types) provided by the client. All product specifications are subject to final contract confirmation.

2. User Responsibilities

2.1 Information Accuracy

Users warrant that all information provided—including business contact details, soil analysis data, crop requirements, and technical specifications—is true, accurate, and complete. SunGlow shall not be liable for issues arising from erroneous or incomplete data provided by the user.

2.2 Legal Compliance

Users are solely responsible for ensuring that the import, storage, sale, and application of our products comply with:

• Import licensing and registration requirements
• Safety data sheet (SDS/MSDS) handling protocols

All brand names (including “SunGlow,” “Nutrition Energy”), logos, product packaging designs, and visual materials are protected by trademark and copyright laws. No use, reproduction, or modification is permitted without prior written consent.

4. Product Information & Usage

4.1 Reference Purpose

Product descriptions, technical parameters, application rates, and case studies provided on our website or in documentation are for general reference only. Actual application should be adjusted based on local soil conditions, climate, and crop requirements.

• All orders are subject to acceptance and confirmation by SunGlow
• Prices are quoted in USD unless otherwise specified
• Payment terms: 30% advance, 70% against B/L copy (standard) or as per contract
• Minimum Order Quantity (MOQ) applies as specified in quotations
• Product specifications confirmed in the Proforma Invoice (PI) are final

6. Shipping & Delivery

• Standard Incoterms: FOB Singapore, CIF, or DDP as agreed
• Delivery timelines are estimates and subject to production schedules and logistics availability
• Risk transfers according to agreed Incoterms
• Users must inspect goods upon receipt and report discrepancies within 7 days

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• SunGlow shall not be liable for delays or failures caused by Force Majeure events including but not limited to: natural disasters, extreme weather, pandemics, war, terrorism, government actions, port congestion, raw material shortages, or logistics disruptions.
• SunGlow shall not be liable for indirect, incidental, consequential, or punitive damages including loss of profits, crop failure, or business interruption, arising from product use, misuse, or failure to follow application instructions.
• Our total liability shall not exceed the purchase price of the specific products giving rise to the claim.

8. Product Safety & Disclaimer

Users acknowledge that:

• Fertilizer products must be handled, stored, and applied according to provided Safety Data Sheets (SDS)
• Proper personal protective equipment (PPE) must be used during handling
• Products must be stored in cool, dry conditions away from incompatible materials
• SunGlow provides SDS and technical guidance, but users bear responsibility for safe use

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the Laws of the Republic of Singapore, without regard to conflict of law principles.

9.2 Amicable Settlement

Any dispute arising from these terms shall first be attempted to be resolved through good-faith negotiations between the parties for a period of 30 days.

9.3 Arbitration

If negotiations fail, disputes shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with SIAC Arbitration Rules. The seat of arbitration shall be Singapore. The language of arbitration shall be English. The award shall be final and binding.

10. Amendments to Terms

SunGlow reserves the right to modify these Terms of Service at any time. Material changes will be notified via email or prominent website notice. Continued use of our services following any changes constitutes acceptance of the revised terms. Users are encouraged to review this page periodically.
